CodixSol provides software development services including but not limited to: AI solutions and agents, Web3 development and smart contract auditing, web and mobile application development, blockchain solutions, and related consulting services. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.
3. User Obligations
You agree to use our services only for lawful purposes and in accordance with these Terms. You must not: use our services in any way that violates applicable laws or regulations; transmit any unsolicited or unauthorized advertising or promotional material; impersonate or attempt to impersonate CodixSol, its employees, or other users; engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website.
4. Intellectual Property
The CodixSol website and its original content, features, and functionality are owned by CodixSol and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our content without our prior written consent. Custom software developed for clients under contract remains subject to the terms of the specific client agreement.
5. Payment & Billing
Payment terms for services are outlined in individual project agreements or contracts. All fees are non-refundable unless otherwise stated in the specific service agreement. We reserve the right to suspend services for overdue payments. Any disputes regarding billing must be raised in writing within 30 days of the invoice date.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the engagement. CodixSol will not disclose your project details, business information, or proprietary data to third parties without your explicit consent, except as required by law. This obligation of confidentiality survives the termination of any service agreement.
7. Disclaimer of Warranties
Our services are provided on an 'as is' and 'as available' basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. CodixSol does not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
8. Limitation of Liability
To the fullest extent permitted by applicable law, CodixSol shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our services. Our total liability to you for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the claim.
9. Termination
Either party may terminate a service agreement in accordance with the terms specified in the relevant contract. CodixSol reserves the right to terminate or suspend access to our website and services immediately, without prior notice, for any breach of these Terms of Service. Upon termination, your right to use the services will immediately cease.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the appropriate courts. We encourage resolution of disputes through good-faith negotiation before pursuing formal legal action.
